Terms of Service

1. Acceptance of Terms

By creating an account or using Reins, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service. These terms apply to all users — including API integrators, dashboard users, and anyone accessing Reins on your behalf.

We may update these terms from time to time. Continued use of Reins after any change constitutes acceptance of the revised terms. If you disagree with any change, your only recourse is to stop using the service.

2. Description of Service

Reins is a spend governance platform for AI agents. It monitors, controls, and logs API calls made by autonomous agents on your behalf, giving you visibility and control over their spending.

Specifically, Reins provides:

  • Visibility — real-time logging of API calls and spending across your agents and vendors.
  • Policy enforcement — configurable rules that can throttle, cap, or block agent API calls based on conditions you define.
  • Audit trails — immutable records of every API call, its outcome, and any policy actions taken.
  • Alerting — notifications when spend thresholds are approached or exceeded.

Important: Reins does not guarantee it will block all overspend. Policies are configurable by you, and a misconfigured policy may not prevent runaway spending. You are responsible for setting and reviewing your policies regularly.

Reins is provided as-is. We do not guarantee uninterrupted uptime, error-free operation, or fitness for a particular purpose. See the Disclaimers section for full details.

3. Account Terms

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to create a Reins account. If you are agreeing on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.

3.2 Account Creation

When you create an account, you agree to provide accurate, current, and complete information. You are solely responsible for activity that occurs under your account, including any actions taken by AI agents you connect to Reins.

3.3 Account Security

You are responsible for keeping your account credentials secure. Do not share passwords or API keys with unauthorized parties. If you discover or suspect a security breach, you must notify us immediately at reins@polsia.app. We are not liable for losses arising from compromised credentials.

3.4 Account Termination

We may suspend or terminate accounts that violate these terms, engage in prohibited activity, or pose a risk to our infrastructure or other users. We will make reasonable efforts to notify you before taking such action, but we reserve the right to act immediately if necessary.

4. Acceptable Use

You MAY use Reins to:

  • Monitor and govern AI agent spending for legitimate business purposes.
  • Build integrations and applications that interact with the Reins API.
  • Set spend limits, alerts, and policy rules for your agents.
  • Export and analyze your own usage and audit data.

You MAY NOT use Reins to:

  • Violate any applicable law or regulation.
  • Attempt to reverse-engineer, decompile, or extract the underlying logic of the Reins platform.
  • Use Reins to build a competing product or service.
  • Circumvent billing or payment obligations.
  • Share your API keys with third parties beyond your own organization.
  • Attempt to gain unauthorized access to Reins systems, data, or other users' accounts.
  • Use the service in a way that interferes with its availability to other users.
  • Upload or transmit malware, malicious code, or content designed to harm.

Violation of acceptable use policies may result in immediate account suspension or termination, and may expose you to legal liability.

5. API & Integrations

5.1 Rate Limits

Reins enforces rate limits on its API to ensure platform stability. Limits vary by plan:

  • Starter: 60 requests per minute
  • Growth: 300 requests per minute
  • Enterprise: Custom limits, negotiated at onboarding

Rate limit responses include standard HTTP 429 headers with retry-after guidance. We reserve the right to adjust these limits with 30 days' notice.

5.2 Authentication

All API requests must be authenticated using a valid API key or OAuth token. Keep your API keys secret — treat them like passwords. You are responsible for all activity under your API keys. Rotate keys immediately if they are compromised.

5.3 Prohibited Uses

You may not use the Reins API to build a product or service that competes directly with Reins. This includes offering AI spend governance, agent monitoring, or policy enforcement as a standalone offering to third parties.

5.4 SDK Usage

Our SDKs and client libraries are governed by these same terms. Any use of Reins SDKs — including in commercial products or internal tools — is subject to these Terms of Service. You may not redistribute our SDKs as standalone packages without written permission.

6. Fees & Billing

6.1 Subscription Plans

Reins offers paid subscription plans. Current pricing is available at reins-rh6x.polsia.app/pricing. All prices are in USD and exclude applicable taxes unless stated otherwise.

6.2 Free Trial

New accounts receive a 3-day free trial. At the end of the trial, your account will automatically convert to a paid plan or be canceled, depending on the plan you selected during signup. You authorize us to charge the applicable plan fee at trial end unless you cancel before it expires.

6.3 Billing Cycle

Billing is monthly or annual, depending on the plan you choose. Annual plans are billed upfront for the full year. Monthly plans are billed on the same day of each month as your signup date.

6.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not refund for partial months or unused time on annual plans.

6.5 Upgrades and Downgrades

Upgrading takes effect immediately and is prorated. Downgrading takes effect at the start of your next billing cycle. You may change your plan at any time from the billing settings in your dashboard.

6.6 Failed Payments

If a payment fails, we will notify you and retry the charge. If the payment is not resolved within 30 days, we may suspend your account. Access will be restored once payment is collected.

7. Intellectual Property

7.1 Your Data

You retain all ownership rights to the data you submit to Reins — including API call logs, agent configurations, and usage metadata. We do not claim any ownership over your data. We use your data only to provide the service, improve our platform, and comply with legal obligations.

7.2 Reins IP

Reins retains all rights to its platform, branding, code, documentation, logos, and trademarks. These Terms of Service grant you a limited, non-exclusive, non-transferable license to use the platform — not ownership of any Reins intellectual property.

7.3 Feedback

If you suggest improvements, features, or other feedback about Reins, we may use it without obligation to you and without any compensation. This does not apply to information you designate as confidential.

7.4 Trademark Policy

You may not use the Reins name, logo, or other trademarks without prior written permission. This includes using Reins branding in marketing materials, public statements, or product names.

8. Confidentiality

8.1 Treatment of Your Data

We treat your transaction data — including API call records, spend metadata, and agent configurations — as confidential. We do not sell, share, or use your data for purposes unrelated to providing the Reins service.

8.2 What We Do Not Read

Reins processes API call metadata (vendor, endpoint, response code, cost, latency) to provide governance and observability. We do not intentionally read, store, or analyze the content or payload of your API calls beyond what is necessary to enforce your policies and generate usage metrics.

8.3 Encryption

All data is encrypted in transit (TLS 1.2+) and at rest (AES-256). API keys are stored using AES-256-GCM encryption.

8.4 Confidential Information

For the purposes of these terms, Confidential Information does not include information that: (a) is or becomes publicly known through no breach by us; (b) was in our possession before disclosure by you; (c) is independently developed by us without use of your information; or (d) is disclosed with your written permission.

9. Disclaimers

Reins is provided "as is" and "as available." We make no warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

  • That the service will be uninterrupted, error-free, or free of bugs.
  • That policy enforcement will catch every overspend scenario.
  • That third-party AI provider APIs will be available or function correctly.
  • That the service will meet your specific requirements.

We are not liable for:

  • Consequential, incidental, special, or punitive damages.
  • Lost profits, lost revenue, or lost data.
  • Failures or delays caused by third-party services or infrastructure.
  • Any actions taken by AI agents you connect to Reins, including overspend beyond your configured limits.

10. Limitation of Liability

Our total liability for any claim arising from your use of Reins — whether in contract, tort, or otherwise — is capped at the fees you paid us in the 12 months preceding the claim. This cap applies even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of liability described above, so this cap may not apply to you. In those cases, our liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Reins, its operators, and affiliated parties from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Reins platform.
  • Your violation of these Terms of Service.
  • Your violation of any third-party rights (including intellectual property or privacy rights).
  • Any content or data you submit through Reins.
  • Any AI agent activity under your account.

We will notify you of any such claim and give you reasonable opportunity to respond. We reserve the right to assume sole control of the defense of any claim we choose.

12. Termination

12.1 Termination by Either Party

You may terminate your account at any time from your dashboard settings. We may terminate your account or discontinue the service at any time, for any reason, with 30 days' written notice. For termination due to a violation of these terms, no notice is required.

12.2 Effect of Termination

Upon termination, your access to Reins will cease. We will retain your account data for 90 days following termination, after which it will be deleted from our active systems. Audit log data may be retained longer for legal compliance purposes.

12.3 Survival

The following sections survive termination: Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms of Service are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising from these terms or your use of Reins will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Delaware. You agree to personal jurisdiction in Delaware courts for any matter not subject to arbitration.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as part of a class, consolidated, or representative action. This waiver applies to the maximum extent permitted by law.

13.4 Exceptions

If you are located in the European Union, the foregoing arbitration clause does not apply to you, and disputes will be subject to the jurisdiction of EU courts under applicable consumer protection laws.

14. Changes to These Terms

We may update these terms from time to time. For material changes — including changes to fees, liability limitations, or your obligations — we will provide at least 30 days' notice via the email associated with your account. Significant changes will also be communicated through the Reins dashboard.

Continued use of Reins after a change takes effect constitutes acceptance of the new terms. If you do not agree to a material change, you may terminate your account before the change takes effect.

Non-material changes (such as clarifications, corrections, or formatting updates) may take effect immediately without advance notice.

15. Third-Party Services

Reins may integrate with third-party AI providers (e.g., OpenAI, Anthropic, Google AI) and communication platforms (e.g., Slack, Microsoft Teams). Your use of those third-party services is governed by their own terms and privacy policies. We do not endorse, guarantee, or assume responsibility for third-party services.

We are not responsible for the availability, pricing, or output quality of any third-party API. AI provider rate limits, pricing changes, and service disruptions are outside our control and do not constitute a breach of these terms.
